Our areas of specialisation
• Banking and capital markets. We consult credit organizations and public companies involved in financial transactions including commercial loans and issue of investment securities. We also give recommendations on acceptable schemes for creditor protection and collaterals.
• Commerce. We have extensive knowledge of trade regulations, particularly existing in the CIS member states, including import and export of goods, services and capital, export control, customs and currency regulation, international trade financing.
• Company law. We handle all problems companies may be confronted with in Azerbaijan including formation, management, restructuring and liquidation of subsidiaries, joint ventures and branch/representative offices of foreign legal entities.
• Contract law. We draft, negotiate and execute all sort of contracts including but not limited to sale of goods, services, lease and credit, contracts arranging creditor protection and establishing joint ventures without company formation. We also provide translation services and arrange legalisation in case if there is a requirement in the legislation or upon request of the client.
• Dispute resolution – litigation and ADR. We deal with all kinds of disputes including but not limited to claims against state authorities and represent our clients both in courts of civil and economic jurisdiction. We have a well-established system of alternative dispute resolution and award enforcement.
• Employment. We arrange preliminary consultations and draft relevant documentation to legalise movement of personnel within a company. We also advise on termination of employment contracts and redundancy schemes, and settle employment disputes.
• Energy and natural resources. The scope of services covers incorporation, taxation and customs clearance, employment and capital repatriation issues existing within the Production Sharing Agreements (PSA).
• Foreign direct investment. We provide a broad range of services to foreign companies and individuals willing to launch business in Azerbaijan including recommendations on possible business forms, land and property development, taxation and capital repatriation.
• Intellectual property. Our services include trademark registration and anti-piracy initiatives. We co-operate with government agencies to enforce IP rights and take legal action against unfair competitors. We deal with all aspects of the acquisition and exploitation of intellectual property rights including franchise agreements and IP licensing.
• M&A. We give advice on public and private companies’ M&A and joint ventures. We participate in the preliminary negotiations, draft relevant documentation including LOI and contractual arrangements, control over the execution and closing and post-closing stages of M&A.
• Privatisation. We help our clients to find the most eligible method of participation in the privatisation of state property in Azerbaijan, contact state authorities, negotiate, arrange bidding documentation, legalise and follow-up the transaction.
• Property/real estate. We administer the entire process of transactions with real estate including initial examination of documentation, draft of the relevant contract, its execution and registration of the rights, if necessary. We are involved in a broad real estate practice including property and land development, lease and mortgage, construction, demolition and refurbishment.
• Tax. We consult businesses on wide range of taxation matters including but not limited to tax aspects of reorganizations, M&A, taxation of legal entities and individuals, capital repatriation and double taxation as well as dispute settlement with tax authorities.
